A KetoNoir Premium gift (a "Gift") is a one-time, prepaid purchase of 365 days (1 year) of KetoNoir Premium for one person, sold by Ketonoir LLC d/b/a KetoNoir ("KetoNoir", "we", "us"). It is delivered as a private link.

These Gift Terms apply in addition to our Terms of Service and Privacy Policy. If they conflict on anything about a Gift, these Gift Terms control.

A Gift costs $53.99 (US dollars), 10% less than the $59.99 price of a year of Premium in the App Store and Google Play. Payment is processed by Stripe. The price shown at checkout is the price you pay, plus any tax that applies.

A Gift is not a subscription. It does not renew, and the purchaser is never charged again for it.

After payment we show the purchaser the gift link and email it to the purchaser. If the purchaser asks, we also send one email with the link to the recipient address the purchaser gives. The purchaser is responsible for that address being correct.

The link works once: the first account to claim it receives the year of Premium. Share it only with the person it is for. If a link is lost or sent to the wrong person before it is claimed, the purchaser can contact us and we will cancel it and send the purchaser a new one.

A Gift is claimed on the web, at the gift link, by a KetoNoir account. Claiming requires an account with an email, Google or Apple sign-in, being at least 18 years old, and accepting our Terms of Service and Privacy Policy. A Gift cannot be claimed inside the iPhone or Android app; once claimed, Premium works in the app, on iPhone, Android and the web, by signing in with the same account.

Premium from a Gift applies only to the account that claims it and cannot be moved to another account.

An account that already has Premium through a paid plan, a complimentary plan or another Gift that is still running cannot claim a new Gift until that ends. The new Gift simply waits: it does not expire.

Premium from a Gift starts the moment it is claimed and lasts 365 days. It then ends on its own, and the account returns to the free plan with its data intact. Nothing renews and nothing is charged. The recipient may choose to subscribe afterwards, on their own terms.

An unclaimed Gift does not expire. We do not charge any dormancy, inactivity, service, maintenance or other fee on a Gift, claimed or unclaimed.

The purchaser may ask for a full refund of an unclaimed Gift within 30 days of purchase by emailing support@ketonoir.ai from the address used at checkout. Refunds go only to the purchaser's original payment method, never to the recipient.

After 30 days, or once a Gift has been claimed, a Gift is non-refundable, except where applicable law requires a refund.

If a payment for a Gift is refunded, reversed or charged back, the Gift is canceled. If it had been claimed, the year of Premium it started ends. While a card dispute about the payment is open, an unclaimed Gift cannot be claimed.

A Gift has no cash value and cannot be exchanged for cash, resold, transferred for value or combined with other offers, except where applicable law requires otherwise.

Federal law. We designed every Gift to meet or exceed the federal protections for gift cards and gift certificates in the Credit Card Accountability Responsibility and Disclosure Act of 2009 (the CARD Act), section 915 of the Electronic Fund Transfer Act (15 U.S.C. 1693l-1) and Regulation E (12 C.F.R. 1005.20). Those rules generally require that a gift card or its funds remain usable for at least five years and limit the fees a seller may charge. A KetoNoir Gift goes further: it never expires before it is claimed and it carries no fees.

State law. Many states have their own laws on gift cards and gift certificates, including laws that forbid expiration dates or fees, or that require a cash refund of a small remaining balance. Where the law of your state gives you more rights than these Gift Terms, that law applies to you, and these Gift Terms are read to give you those rights.

Unclaimed property. Where a state unclaimed property law applies to an unclaimed Gift, we will comply with it.

Nothing in these Gift Terms limits, waives or takes away any right you have under applicable federal or state law that cannot be limited or waived by agreement.

Sections 13 (Dispute Resolution and Arbitration) and 14 (Governing Law) of our Terms of Service apply to Gifts, subject to section 9 above.

KetoNoir is a nutrition tracking tool. It is not medical advice and does not diagnose, treat, cure or prevent any disease. Receiving a Gift creates no obligation to use KetoNoir. Anyone with a medical condition should talk with their doctor before changing how they eat.

The purchaser never receives any information about how the recipient uses KetoNoir, and never any of the recipient’s health information. We tell the purchaser only that the Gift was claimed.

We use the purchaser’s name, email and payment details to process and deliver the Gift. We use a recipient email address the purchaser gives us only to send that one gift email. Our Privacy Policy describes how we handle personal information.

We may refuse, cancel or end a Gift that was bought with an unauthorized payment method or obtained through fraud.

We may update these Gift Terms. A change never reduces the rights of a Gift that was already bought.
