This page summarizes the KetoNoir Affiliate Program. It is a summary only. The complete and binding terms are set out in the KetoNoir Affiliate Program Agreement, which you review and accept during onboarding. Where this page and that agreement differ, the agreement controls.
The KetoNoir Affiliate Program lets approved creators, coaches, and partners earn performance-based commissions for introducing new users to KetoNoir, our premium ketogenic and low-carbohydrate macro tracking application for iOS, Android, and the web.
To participate, you must:
Approval is at the sole discretion of KETONOIR LLC. We may approve or decline any application without stating a reason. We target a review turnaround of one (1) to two (2) business days from a complete application, though that is a target rather than a commitment.
Each affiliate may hold one Program account. Duplicate accounts may be consolidated or closed, and commissions earned through duplicate accounts may be reversed.

Commission B applies on any payment rail, whether the subscription is purchased through Stripe web checkout or as an in-app purchase through the Apple App Store or Google Play.
The rates above are Program defaults. We set your specific rates when we approve you, and we display them in your Affiliate Dashboard. The rates shown in your dashboard at the time an event happens are the rates that apply to that event, and they control over the defaults published here.
When our system records a qualifying event, it stores the rate in effect at that moment alongside the event. Later rate changes apply going forward and never change the value of an event already recorded.
Attribution is determined solely by our tracking system.
A qualified new account is a newly registered KetoNoir account attributed to you, created by a real person aged eighteen or over, with a unique verifiable email address not previously used with KetoNoir, that is not you or a member of your household, and that is not flagged as fraudulent, duplicate, or automated.
A qualified conversion is the first successful subscription payment made by a qualified new account attributed to you, after any free trial ends. Renewals, upgrades, and later payments do not generate additional commission.
Every commission matures sixty (60) days after the underlying event is recorded. Maturation protects the Program against refunds, chargebacks, and fraud. Until a commission matures it shows in your dashboard as pending, is not payable, and is not a vested entitlement.
If a payment is refunded or charged back, or if an account or payment is found to be fraudulent, duplicated, incentivized, self-referred, or otherwise in breach of the rules, the related commission is reversed and deducted from your balance. Reversals apply to matured and unmatured commissions alike. A resulting negative balance carries forward against future commissions.

If you do not choose, the monthly schedule applies by default.
No payment is issued while your matured balance is below $25. Amounts below that floor roll forward to the next run.
Payments are made by the method we designate. Currently, payouts are administered through QuickBooks by ACH transfer or check. Keep your payment details current in the dashboard; we are not responsible for payments misdirected because of details you supplied incorrectly.
We cannot pay you until valid tax documentation is on file.
Commissions continue to accrue while your tax form is outstanding. They simply cannot be paid out until it is complete.
You are responsible for your own taxes. Where required by law, we issue a Form 1099-NEC to United States affiliates whose payments in a calendar year meet or exceed the applicable threshold, currently $600. Backup withholding applies where the law requires it.
Raise any question about a commission, reversal, or payment within sixty (60) days of the entry appearing in your dashboard. After that window, our records are final.
Participation in the Program carries real obligations. These are not suggestions.
You must disclose your material connection to KetoNoir clearly and conspicuously in every promotion, on every platform, in line with the Federal Trade Commission's endorsement guides at 16 C.F.R. Part 255. Use plain wording such as `#ad` or `I earn a commission if you subscribe`, placed where nobody can miss it, before the endorsement, not buried in hashtags, a bio, a footer, or an expander. The full placement rules by platform are in our FTC and Disclosure Guide, provided at onboarding.
You may never state or imply that KetoNoir, a ketogenic diet, or a low-carbohydrate diet treats, cures, prevents, mitigates, reverses, or diagnoses any disease or condition. Phrasing such as "reverses diabetes" is prohibited outright.
Personal experience framing is acceptable when it is true, presented explicitly as your own experience, and accompanied by clear disclaimers that individual results vary and that the content is not medical advice.
When referring to metabolic markers or lab values, the only acceptable framing is that they are "trending in the right direction." Never say a marker was reversed, normalized, or cured.
KetoNoir is a tracking tool. It is not a medical device, not a diagnostic tool, and KETONOIR LLC is not a healthcare provider. Do not present it as any of those. Where your content touches health, encourage your audience to consult a qualified healthcare provider.
Promote to audiences aged eighteen and over. Do not market to minors or place promotional content where the audience is primarily under eighteen.
The following will get you removed from the Program:
Use only unmodified assets from your Affiliate Dashboard. Brand colors are Gold `#C9A84C`, Black `#080808`, and Cream `#F0EBE1`. The wordmark is KetoNoir, written as one word with no space and no hyphen. Do not recolor, stretch, crop, or alter any logo, and do not modify Apple App Store or Google Play badges. Full detail is in our Brand Usage Rules.
If we issue you Apple App Store offer codes or Google Play promotional codes, they remain our property, we may revoke them at any time, and you may not sell them, auction them, or post them to coupon aggregator sites or deal forums.
We review affiliate content. A first non-serious violation draws a written warning with a seventy-two hour correction window. A repeated or uncorrected violation results in removal from the Program. Disease claims, content aimed at minors, and any fraudulent traffic result in immediate removal without a prior warning, and fraudulent activity forfeits all commission balances.
Either you or KETONOIR LLC may end participation for any reason with fourteen (14) days written notice. We may terminate immediately for cause, including fraud, prohibited traffic, or a compliance violation.
We may change the Program terms, commission rates, attribution window, and payout options. We give at least fourteen (14) days notice of material changes through the Affiliate Dashboard, by email, or both. Continuing to participate after a change takes effect means you accept it. Rate changes apply going forward only.
Affiliates are independent contractors. Participation creates no employment, partnership, joint venture, franchise, or agency relationship, and affiliates have no authority to bind KETONOIR LLC.
We make no promise or projection regarding traffic, signups, conversions, or earnings. Any figures we publish are illustrative and are not a forecast of your results.
The Program is governed by the laws of the State of Texas. Venue for any dispute lies exclusively in the state or federal courts located in Parker County, Texas.
